Rent Agreement on Stamp Paper for Shop: Is It Enough?

Legal2026-10-214 min readBy CGA Tax and Legal Team

Many shop owners and tenants believe that once a rent agreement is typed on stamp paper and signed, everything is safe. Not always. A rent agreement on stamp paper for a shop is only as strong as its duration, its stamping, its registration (where needed) and the clauses written inside it. This article explains what to check, so that your shop and your money stay protected when a disagreement comes.

Is a rent agreement on stamp paper enough for a shop?

Stamp paper only shows that stamp duty was paid. It does not make a weak agreement strong. If the agreement is silent on deposit refund, exit or repairs, the paper will not help you much when the landlord and tenant disagree.

Courts look at what the document actually says, whether it is properly stamped, and whether it was registered when the law requires registration. An agreement that fails on these points may be difficult to rely on as evidence.

So think of stamp paper as the first step, not the last. The terms, the stamping and the registration decide how much protection you really get.

Does a shop lease need registration? The 11-month question

Under Indian property law, a lease of immovable property for more than one year is generally required to be made by a registered document. This comes from the Transfer of Property Act and the Registration Act. A lease that is not registered when it should be can face trouble when you try to use it in court to prove the lease terms.

Because of this, many shop agreements are written for 11 months. A lease of less than one year does not compulsorily need registration. But it still needs to be stamped correctly as per your state's stamp law, and an unstamped or under-stamped document may not be accepted as evidence until the duty and penalty are paid.

A few points to keep in mind:

  • Stamp duty on rent agreements differs from state to state, and it often depends on rent, deposit and term. Check the rule of the state where the shop is located.
  • Repeated 11-month renewals are common, but whether a long-running arrangement raises questions depends on the facts and the state law. Get it checked if you plan to stay for many years.
  • If you want a long lease, such as three, five or nine years, plan for registration and the higher cost that comes with it.
  • State rent control laws may also apply to your shop. Do not assume the agreement alone decides everything.

Which clauses should a shop rent agreement include?

Most rent disputes do not come from the big things. They come from small points that nobody wrote down. Make sure your agreement clearly covers the following.

  • Rent amount, due date and mode of payment, such as bank transfer, so that there is a record.
  • Annual increase: state the percentage or method, instead of saying it will be increased by mutual consent.
  • Security deposit: the amount, whether it carries interest, what can be deducted, and the exact time within which it will be refunded. Vague deposit terms cause many disputes.
  • Notice period: how much notice each side must give to end the arrangement.
  • Lock-in period: the time during which neither side can leave without a penalty, and what that penalty is.
  • Exit terms: handing back possession, condition of the shop, removal of fittings and final settlement of dues.
  • Permitted use: the kind of business allowed in the shop, and whether sub-letting is allowed or not.

Who pays for repairs, electricity, property tax and maintenance?

If these are not written, each side will assume the other should pay. Clear allocation avoids many arguments later.

Decide and record who bears minor repairs and who bears major or structural repairs. Mention who pays electricity and water bills, and make sure the meter is in the right name or that bills are shared on a clear basis.

Also state who pays property tax and society or market association maintenance charges. Commonly the owner pays property tax, but this is a matter of agreement. Write down what you have agreed, along with how and when receipts will be shared.

Does TDS apply on shop rent?

A business tenant should check whether tax has to be deducted at source (TDS) before paying rent. The Income Tax law has TDS provisions on rent of land and buildings, and whether they apply depends on the tenant's status and on the rent paid in the year. The limits have been revised in recent years, so please confirm the current limit and rate before deciding.

If TDS applies and is ignored, the tenant may face interest, penalty and disallowance of the rent expense, which is a real cost for a business. The landlord, on the other side, must show the rent as income and can claim credit for the TDS deducted.

GST can also be relevant. Rent on commercial property may attract GST if the landlord is required to be registered. Mention in the agreement whether the rent is inclusive or exclusive of GST, and who will issue invoices. A well-drafted agreement is also useful as proof of premises for registrations such as GST.

Get your shop agreement reviewed before you sign

"Zubaan par chal jayega" works only until the first disagreement. After that, only the written terms, proper stamping and, where required, registration will help you.

CGA's team of Chartered Accountants and Advocates can review your draft, suggest changes on stamping, registration, TDS and GST, and help you handle an existing dispute. Whether you are the landlord or the tenant, a review before signing costs far less than a dispute after it.

Key takeaways

  • Stamp paper alone does not protect you. The clauses, correct stamping and registration (where required) matter.
  • A lease of more than one year generally needs registration, and stamp duty differs from state to state.
  • An 11-month agreement avoids compulsory registration but still needs proper stamping to be relied on in court.
  • Write down rent, annual increase, deposit refund, notice, lock-in, exit and who pays for repairs and bills.
  • Business tenants should check whether TDS (and GST) applies on rent.

Frequently asked questions

Is an 11-month rent agreement valid for a shop?

Yes, a lease for less than one year does not compulsorily need registration. It should still be stamped as per the state's stamp law and should have clear terms. Without proper stamping, it may not be accepted as evidence until duty and penalty are paid.

Is registration of a shop rent agreement compulsory?

A lease for more than one year is generally required to be registered. For shorter leases, registration is not compulsory, though parties may choose to register for extra safety. The stamp duty and registration charges depend on your state.

How much stamp duty is payable on a shop rent agreement?

There is no single rate for the country. Stamp duty is decided by each state and usually depends on the rent, deposit and period of the lease. Check the rule of the state where the shop is located or ask a professional.

What should a security deposit clause say?

It should state the amount, whether any interest is payable, what deductions are allowed and the exact time within which the deposit will be returned after handing over the shop. Clear wording here prevents most disputes.

Does a tenant have to deduct TDS on shop rent?

It may have to, depending on the tenant's status and the rent paid in the year, as the Income Tax law has TDS provisions on rent of buildings. Since the limits have changed in recent years, confirm the current rules before paying rent.
